Rippling may modify or amend these Promo Terms at any time, without notice to you. 1. General Rules; Promotion Limitations

• Each Promotion is a limited time offer and may be subject to availability.
• You represent to Rippling that you are of legal age of majority in your jurisdiction of residence at the time of your participation in a Promotion. In most jurisdictions, this age is at least 18 years old or older, but if the legal age of majority in your jurisdiction is higher, you represent that you meet that legal age requirement.
• Promotions are not valid for cash or cash equivalents. 
• Promotions cannot be applied to previous purchases or subscriptions and may not be combined with other offers.
• Promotions are non-transferable and may not be resold, auctioned, bartered, leased or exchanged.
• Unless otherwise stated, the offer is limited to one per person.

• If you violate any of these Promo Terms or any other  terms communicated with the Promotion, the Promotion will be invalid.
• Promotions are void where prohibited by applicable law. 
• You are responsible for any taxes, duties, and/or fees associated with receiving or using an item or service in connection with a Promotion.
• Rippling reserves the right to modify or cancel the Promotion or any terms or conditions applicable to the Promotion, in its sole discretion, at any time and without any notice, and for any reason, including, without limitation, for technical issues or other unforeseen circumstances, or if Rippling suspects or determines your actions with respect to any Promotion involve fraud, abuse, or bad faith. Rippling shall not be liable for any financial loss arising out of the refusal, cancellation or withdrawal of any Promotion or any failure or inability on your part to take advantage of a Promotion for any reason. 
• By submitting any content as part of any Promotion, you grant Rippling a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, adapt, edit, copy, transmit, publish, translate, create derivative forms, distribute and display your submission and content in any media formats including both paid and owned media channels, for any lawful purpose on a global basis, including without limitation, for promotion, publicity, and advertising purposes.
• Promotions are only valid for the Rippling products and services that are available and supported in the country in which eligible entities are domiciled. Rippling reserves the right to determine product or service availability on a country-by-country basis, and any products or services that are not available, supported, or otherwise offered in the relevant country are expressly excluded from the scope of any Promotion.
• Rippling is not responsible for any differences in conversion rates or any resulting changes in the value of your promotional credit based on the currency of the Promotion or means of redemption.
• Rippling is not responsible for any technical issues, or other technical or human errors that may affect the operation or outcome of any Promotion.
• Employees, contractors, and other agents of Rippling and its affiliates, as well as their immediate family members, are not eligible to participate in any Promotion.
• Employees of government entities, government-controlled entities, or government-owned entities are not eligible to participate in any Promotion. 
• If any provision of these Promo Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
• Unless specified otherwise by Rippling, Promotions are limited to one (1) per eligible individual or entity for every three hundred and sixty-five (365) days.

2. Referral Program Rules; Promotion Limitations

• To qualify for a referral offer as a prospective Rippling customer, you must:
• • Not be an existing Rippling customer; and
  • Complete the qualifying action for the Promotion, like scheduling and attending a product demonstration with Rippling.
• To qualify for a referral offer as a referrer:
• • You must refer an eligible prospect to Rippling using the instructions provided to you as part of the promotional materials;
  • You must be the first party to refer the prospect (if multiple referrals are received);
  • The prospect must not be an existing Rippling customer;
  • The prospect must schedule and complete a demo with Rippling within 30 days of being referred by you; and
  • You may not refer yourself (if you are an admin of multiple accounts and/or entities).
• For prospects, the offer is limited to one (1) per prospect.
• For referrers, the offer is limited to one (1) per referral.

3. Customer Reference Program Limitations

• To qualify for an offer, you must:
• • Sign up for the Customer Reference Program using the link, form or other means provided to you; and
  • Complete the relevant number of calls with the required number of prospective Rippling customers in accordance with any timing requirements specified by Rippling.

4. Beverage Gift Promotion Rules and Limitations

• To qualify for this Promotion, you must:
• • Be located in a country where the receipt and delivery of alcoholic beverages as promotional gifts are lawful; and
  • Either:
  • • Complete and submit the relevant marketing or order form provided via email or direct mail invitation from a Rippling representative; or
    • Receive a beverage gift from Rippling.
• This Promotion is limited to one (1) beverage gift per eligible individual or entity. 
• Promotion availability, participation, and fulfillment options may vary by country, and are subject to applicable law.
• Eligible participants may receive one (1) beverage gift, which may consist of an alcoholic beverage or a non-alcoholic beverage alternative.
• Beverage selections are subject to availability and local restrictions. Rippling may substitute an alcoholic beverage where the shipment or receipt of alcoholic beverages is restricted or impractical.
• All beverage gifts are fulfilled and shipped by licensed retailers or their authorized logistics partners (each, a “Licensed Retailer”). Rippling does not sell, ship, or deliver beverages directly.
• By accepting or redeeming a beverage gift, you represent, warrant, and affirm to Rippling and all Licensed Retailers that:

  • You are receiving or ordering solely for personal consumption; and
  • You are located in, and request delivery to, a country or jurisdiction that permits the delivery of alcoholic beverages.

• You agree to indemnify, defend, and hold harmless Rippling and all Licensed Retailers from and against any losses, damages, liabilities, costs, or expenses (including reasonable legal fees) arising out of or related to:

• This Promotion begins on January 9, 2026 at 12:00am PT and ends on February 17, 2026 at 11:59pm PT (“Promotion Period”).
• Entries received outside the Promotion Period will not be considered.
• To be eligible to participate in this Promotion, you must:

  • Be employed by a legally registered business; and

17. Rippling Broker Bracket Challenge Promotion Rules and Limitations

• This Promotion begins on March 15, 2026 at 12:00am PT and ends on April 4, 2026 at 11:59pm PT (“Promotion Period”). Entries or referrals received outside the Promotion Period will not be considered.
• To be eligible to participate in this Promotion, you must:
• • Be a broker partner of Rippling under a current agreement with Rippling;
  • Be a legal resident located in the United States;
  • Be eighteen (18) years of age or older at the time of participation; and
  • Register for the Promotion during the Promotion Period by following the instructions provided by Rippling.
• Submission of a completed bracket in accordance with the instructions provided by Rippling will constitute one (1) entry into this Promotion.
• Limit one (1) bracket entry per person.
• No purchase, payment, or referral submission is required to enter or win this Promotion.
• Three (3) total winners will be selected in connection with this Promotion at the end of the Promotion Period, as follows:
• • One (1) winner with the highest number of valid referrals to Rippling submitted during the Promotion Period;
  • One (1) winner with the second-highest number of valid referrals to Rippling submitted during the Promotion Period; and
  • One (1) winner based on the highest total bracket score. Your submitted bracket will be scored based on the bracket platform’s standard scoring methodology. Participation in the referral-based prize categories does not increase the odds of winning this bracket score prize.
• Each winner will receive two (2) VIP tickets to a sporting event of the winner’s choice occurring in calendar year 2026, with an approximate value of up to $1,999. • Two (2) months free of either Rippling HR Services SKU or PEO SKU offer is applicable only to the first two (2) months of recurring subscription charges and consultative implementation services package set forth on the initial Order Form for either a Rippling HR Services SKU or a PEO SKU, and does not apply to other recurring or one-time costs, taxes, and/or governmental charges.
• To be eligible, entities must:
• • Be domiciled in the United States;
  • Be current Rippling customers that have not subscribed to either Rippling HR Services SKU or PEO SKU;
  • Meet additional eligibility criteria as determined by Rippling in its sole discretion; and
  • Enter into an Order Form for either Rippling HR Services SKU or PEO SKU with Rippling on or before April 30, 2026.
• This Promotion does not apply to co-termed agreements, contract amendments, or other modifications that do not constitute a new twelve (12) month subscription term or an early renewal.
• This Promotion is not available to entities that have previously received this Promotion.
• This Promotion may not be combined with any other offer, discount, or promotion, unless expressly approved by Rippling.
