Thank you for using the websites, applications and services offered by People Center, Inc. d/b/a Rippling (together with its subsidiaries and other affiliates, “Rippling”, “we”, “us”, “our”). Rippling provides certain human resource, financial, and information technology software and other services that may be made available by Rippling from time to time through Rippling’s websites, digital platforms, mobile applications and other applications and any related software, as well as improvements, updates, enhancements, error corrections, bug fixes, release notes, upgrades and changes thereto, that are referred to collectively herein as the “Rippling Services”. This User Terms of Service Agreement (these "User Terms") governs use of our websites (e.g., https://www.rippling.com/) and third-party digital properties on which we have a presence or maintain a community (e.g., social media sites, software code collaboration and contribution communities, etc.) (each, a “Site”) by visitors (“Site Visitors”) and access to and use of the Rippling Services by individuals authorized by a Rippling subscriber (“Customer”) (such individuals using the Rippling Services, “Authorized Users” and, collectively with the Site Visitors, "you" or "Users").
PLEASE REVIEW THESE USER TERMS CAREFULLY. BY ACCEPTING THESE USER TERMS, VISITING ANY SITES, OR USING ANY OF THE RIPPLING SERVICES, YOU AGREE THAT THESE USER TERMS ARE A LEGALLY BINDING CONTRACT BETWEEN YOU AND US. IF YOU DO NOT AGREE TO BE BOUND TO THESE USER TERMS OR TO ANY PROVISIONS HEREIN, YOU MUST CEASE ALL USE OF RIPPLING SERVICES AND ANY FUTURE VISITS TO ANY RIPPLING SITES.
You acknowledge that you are able to electronically receive, download, and print these User Terms, and that you consent to do business electronically.
THESE USER TERMS CONTAIN AN AGREEMENT TO ARBITRATE AND CLASS ACTION WAIVER IN SECTION 8 (“DISPUTE RESOLUTION, AGREEMENT TO ARBITRATE, CLASS ACTION WAIVER”), WHICH REQUIRES, AMONG OTHER THINGS, THAT CERTAIN DISPUTES RELATING TO THESE USER TERMS, YOUR ACCOUNT AND/OR THE RIPPLING SERVICES MUST BE RESOLVED BY BINDING ARBITRATION RATHER THAN IN COURT AND ON AN INDIVIDUAL BASIS ONLY (I.E., CLASS ARBITRATION AND OTHER COLLECTIVE ACTIONS ARE EXCLUDED).
1. Customer's Choices and Instructions.
To the extent you are an Authorized User, this Section applies to you.
1.1 What This Means for You—and for Us.
Customer has separately agreed to our Customer Terms of Service Agreement and certain other Additional Terms available at https://app.rippling.com/legal and/or entered into a written agreement with us or our affiliate(s) (in either case, the "Customer Agreement") that permits Customer to create and configure a Rippling account so that Authorized Users may register for a Rippling sub-account or otherwise access or use Rippling Services. If we believe that there is a violation of these User Terms or any of our other policies by you that can be remediated by Customer taking action, we may, but have no obligation to, request, instruct or direct Customer to take action rather than intervene or take such action directly.
You acknowledge and agree that certain data or information you submit to the Rippling Services is “Customer Data” as defined in the Customer Agreement and is owned by Customer. The Customer Agreement provides Customer with many choices and control over that Customer Data. For example, Customer may enable or disable third party integrations, manage permissions, and request that Rippling share Customer Data with a third party, and these choices and instructions may result in the access, use, disclosure, modification or deletion of certain or all Customer Data. As between Authorized Users and Customers, the information you input into or otherwise make available through the Rippling Services is not confidential and may be used by Customer subject to these User Terms, the Customer Agreement and any other understanding directly between you and Customer.
1.2 The Relationship Between You, Customer and Us and Disclaimer.
AS BETWEEN US AND CUSTOMER, YOU AGREE THAT IT IS SOLELY CUSTOMER’S RESPONSIBILITY TO (A) INFORM YOU AND ANY AUTHORIZED USERS OF ANY RELEVANT CUSTOMER POLICIES AND PRACTICES AND ANY SETTINGS THAT MAY IMPACT THE PROCESSING OF CUSTOMER DATA; (B) OBTAIN ANY RIGHTS, PERMISSIONS OR CONSENTS FROM YOU AND ANY AUTHORIZED USERS THAT ARE NECESSARY FOR THE LAWFUL USE OF CUSTOMER DATA AND THE OPERATION OF THE RIPPLING SERVICES; (C) ENSURE THAT THE TRANSFER AND PROCESSING OF CUSTOMER DATA PURSUANT TO THE CUSTOMER AGREEMENT IS LAWFUL; AND (D) RESPOND TO AND RESOLVE ANY DISPUTE WITH YOU AND ANY AUTHORIZED USER RELATING TO OR BASED ON CUSTOMER DATA, THE RIPPLING SERVICES OR CUSTOMER’S FAILURE TO FULFILL THESE OBLIGATIONS OR THOSE SET FORTH IN THE CUSTOMER AGREEMENT. RIPPLING MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, TO YOU RELATING TO THE RIPPLING SERVICES, WHICH ARE PROVIDED TO YOU ON AN "AS IS" AND "AS AVAILABLE" BASIS.
1.3 You Are Here At the Pleasure of Customer (and Us).
These User Terms remain effective until your access to the Rippling Services has been terminated by Customer or us, provided that, except as expressly provided otherwise in these User Terms, all provisions that by their nature extend beyond the expiration or termination of these User Terms shall survive such expiration or termination, including, without limitation, provisions related to confidentiality, intellectual property ownership, indemnification, limitations of liability, dispute resolution, and compliance with laws. Please contact Customer if, at any time or for any reason, you wish to terminate your account, including due to a disagreement with any updates to these User Terms.

Authorized Users may also be an “Authorized Representative” of Customer, as defined in and governed by the Customer Terms of Service Agreement available at https://app.rippling.com/legal. Authorized Users that are also Authorized Representatives further acknowledge and agree that Customer is an intended third party beneficiary of these User Terms and may enforce these provisions directly against such Authorized Users. In the event you, in your capacity as an Authorized Representative, also have a direct relationship with Rippling memorialized in a written agreement, then, to the extent of any conflict or inconsistency between such direct agreement with Rippling and these User Terms, such direct agreement shall take precedence over these User Terms and govern and control to the extent of any such conflict and/or inconsistency.
1.5 Contractors.
Authorized Users may also be Contractors of Customer, as defined in and governed by the Contractor Hub User Terms of Service available at https://app.rippling.com/legal/contractor-hub-user-terms. If you are an Authorized User that is also a Contractor, you acknowledge and agree that, in your capacity as a Contractor (i) your status as Contractor and your use of the Contractor Hub Service, as defined in the Contractor Hub User Terms of Service, is governed by the Contractor Hub User Terms of Service, (ii) any action you take with respect to Customer Data in, through or from the Rippling Services is taken at the direction, instruction or with the authorization of Customer, and (iii) you may provide, access, process and use Customer Data solely to provide the aforementioned services to Customer in full compliance with these User Terms, the Contractor Hub User Terms of Service, any Contractor Agreement between you and Customer and applicable law. To the extent of any conflict or inconsistency between the Contractor Hub User Terms of Service and these User Terms, the Contractor Hub User Terms of Service shall take precedence over these User Terms and govern and control to the extent of any such conflict and/or inconsistency.
1.6 Communities.
Certain Sites may provide options to engage with us and/or other Users, including through live and asynchronous messaging features, and the submission, modification, sharing and download of your and others’ User Content, and to take other actions enabled by the applicable Site (as defined herein) (collectively, “Communities”). Although Rippling prefers that Community members consistently moderate their own behavior in accordance with the highest ethical and professional standards, Rippling reserves the absolute right in its sole discretion to modify or remove posts that violate these User Terms or any guidelines made available to you in the applicable Community or Site resources, or to suspend or permanently disable accounts, or direct the third-party Site owner or operator to do the same.
The following illustrative list of Community guidelines may be supplemented or modified by Rippling with respect to a specific Site or Community, but provides a framework for conducting yourself appropriately within our Communities. If we believe you have engaged in any Prohibited Activities, we may suspend or terminate your access.
3. Privacy; Confidentiality. For information about how we collect, use, share and otherwise process information about you for our own purposes when you interact with Ripping Services, please see our User Privacy Notice at https://app.rippling.com/privacy. “Confidential Information” means any information disclosed by either party that should be reasonably understood to be confidential in light of the nature of the information. However, “Confidential Information” will not include any information which (a) is in the public domain through no fault of receiving party; (b) was properly known to receiving party, without restriction, prior to disclosure by the disclosing party; (c) was properly disclosed to receiving party, without restriction, by another person with the legal authority to do so; or (d) is independently developed by the receiving party without use of or reference to the disclosing party’s Confidential Information. Each party will protect any Confidential Information of the other party which it may receive or otherwise be exposed to in the course of exercising its rights or performing its obligations hereunder. Each party will use the same care to protect the other party’s Confidential Information as it would use to protect its own similar information, but in no event less than reasonable care. Each party will use Confidential Information only for the purpose of fulfilling its obligations or exercising its rights under this Agreement. Neither party will disclose any Confidential Information of the other party to any third party without the prior written consent of the disclosing party, other than furnishing such Confidential Information (i) to its employees and consultants who are required to have access to the Confidential Information in connection with the exercise of receiving party’s rights or performance of its obligations under this Agreement, and (ii) to its professional advisers (e.g., lawyers and accountants), provided, however, that any and all such employees, consultants and advisers are bound by agreements or, in the case of professional advisers, ethical duties, to treat, hold and maintain such Confidential Information in a manner that is consistent with the terms and conditions of this Section. You acknowledge and agree that Rippling may preserve Confidential Information and may also disclose Confidential Information if required to do so by law or in the good faith belief that such preservation or disclosure is reasonably necessary to: (i) comply with legal process, applicable laws or government requests; (ii) enforce this Agreement; (iii) respond to claims that any content violates the rights of third parties; or (iv) protect the rights, property, or personal safety of Rippling, its users and the public.
4. Proprietary Rights.
4.1 Limited Access Rights. Subject to your compliance with these User Terms and any other agreement between you and us, and Customer’s compliance with any Customer Agreement with us, as applicable, you are hereby granted a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use our Sites for your evaluation of the Rippling Services or use of the Rippling Services in strict accordance with these User Terms and other agreements between you and us and/or between Customer and us.
4.2 Rippling’s Ownership Rights. As between you and us, all right, title, and interest in and to the Rippling Services, shall remain vested in Rippling. Except for the express rights granted hereunder, Rippling also reserves all rights, title and interests in and to Rippling’s Confidential Information. Rippling and our logos, our product or service names, our slogans and the look and feel of the Sites and each Rippling Service are trademarks of Rippling and may not be copied, imitated or used, in whole or in part, except with our express permission. All other marks, registered trademarks, product names and company names or logos mentioned on the Sites or contained in the Rippling Services are the property of their respective owners.
4.3 Your Content. The Sites and portions of the Rippling Services have certain functionality that may allow Users to upload, post, generate, modify and share content, including videos, photos, presentations, documents, messages, reviews, comments, text, and other materials (“User Content”). You grant Rippling a perpetual, irrevocable, non-exclusive, royalty-free, worldwide, fully paid, and sublicensable (through multiple tiers) license to use, reproduce, modify, adapt, publish, index, translate, create derivative works from, distribute, publicly or otherwise perform and display, and exploit your User Content in all media without acknowledgement, notice or compensation to you or any third party. Subject to the foregoing license, as between you and Rippling, you retain all rights in and to your User Content to the extent not containing any Rippling proprietary materials. You represent and warrant that you have all rights necessary to provide User Content in the manner you provide, and that such User Content is not unlawful, objectionable, infringing upon any rights of a third party, and will not otherwise violate the rights of any third party or any understanding or agreement you may have with any third party. For the avoidance of doubt, User Content is not "Customer Data" as defined in the Customer Terms of Service Agreement. Customer Data is processed by Rippling as a data processor or service provider under applicable data protection law, in accordance with Customer's instructions, including those provided with respect to Customer Personal Data pursuant to the Rippling DPA. User Content is not subject to such processing terms or obligations.

We have no responsibility to evaluate, verify, maintain, control or take any action with respect to Third-Party Materials and make no representations and warranties with respect to the accuracy, title, completeness, fitness, reliability, quality, nature or any other attributes of Third-Party Materials. Your interactions with Third-Party Materials and their providers are solely between you and the applicable third party, are at your own risk, and may be governed by separate agreements, privacy policies, and other terms imposed by those providers.
4.5 Feedback. Users may from time to time provide Rippling suggestions or comments for enhancements or improvements, new features or functionality or other feedback (“Feedback”) with respect to the Rippling Services. Rippling will have full discretion to determine whether or not to proceed with the development of any requested enhancements, new features or functionality. Rippling will have the full, unencumbered right to use, incorporate and otherwise fully exercise and exploit any such Feedback in connection with its products and services without any acknowledgment, compensation or notice to you.
5. Disclaimer. EXCEPT AS EXPRESSLY PROVIDED HEREIN, THE RIPPLING SERVICES ARE PROVIDED TO YOU “AS IS”, “WHERE IS” AND “AS AVAILABLE” TO THE FULLEST EXTENT PERMITTED BY LAW. RIPPLING HEREBY DISCLAIMS ANY AND ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, TITLE, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE IN RELATION TO THE RIPPLING SERVICES. WITHOUT LIMITING THE FOREGOING, RIPPLING DOES NOT WARRANT THAT THE RIPPLING SERVICES WILL BE ERROR-FREE OR THAT THEY WILL MEET ANY SPECIFIED SERVICE LEVEL, OR WILL OPERATE WITHOUT INTERRUPTIONS OR DOWNTIME. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM RIPPLING OR THROUGH THE RIPPLING SERVICES WILL CREATE ANY WARRANTY. RIPPLING DOES NOT WARRANT, ENDORSE, GUARANTEE OR ASSUME RESPONSIBILITY FOR ANY THIRD-PARTY PRODUCT. TO THE EXTENT THIS DISCLAIMER CONFLICTS WITH APPLICABLE LAW, THE SCOPE AND DURATION OF ANY APPLICABLE WARRANTY WILL BE THE MINIMUM PERMITTED UNDER THAT LAW.
6. Limitation of Liability. UNLESS YOU ARE ALSO A CUSTOMER OR A CONTRACTOR OR AUTHORIZED USER OF A CUSTOMER (AND WITHOUT LIMITATION TO OUR RIGHTS AND REMEDIES UNDER THE CUSTOMER AGREEMENT), AUTHORIZED USERS WILL HAVE NO FINANCIAL LIABILITY TO US FOR A BREACH OF THESE USER TERMS.
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL RIPPLING HAVE ANY LIABILITY TO YOU OR ANY OTHER PARTY FOR ANY PERFORMANCE OR UNAVAILABILITY OF OR INABILITY TO USE THE SITES OR RIPPLING SERVICES, FOR LOST PROFITS, LOST DATA, LOST GOODWILL OR REVENUES OR FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, COVER OR EXEMPLARY OR PUNITIVE DAMAGES HOWEVER CAUSED, WHETHER IN CONTRACT, TORT OR UNDER ANY OTHER THEORY OF LIABILITY, AND WHETHER OR NOT RIPPLING HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR MAXIMUM AGGREGATE LIABILITY TO YOU FOR ANY BREACH OF THE USER TERMS IS ONE HUNDRED UNITED STATES DOLLARS ($100) IN THE AGGREGATE. THE FOREGOING DISCLAIMERS WILL NOT APPLY TO THE EXTENT PROHIBITED BY APPLICABLE LAW AND DO NOT LIMIT EITHER PARTY’S RIGHT TO SEEK AND OBTAIN EQUITABLE RELIEF.
THE EXCLUSIONS AND LIMITATIONS OF LIABILITY UNDER THIS AGREEMENT WILL NOT APPLY TO THE EXTENT PROHIBITED BY APPLICABLE LAW, INCLUDING WITH RESPECT TO JURISDICTIONS THAT DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES OR LIABILITY ARISING FROM DEATH, PHYSICAL INJURY, OR STRICT LIABILITY. IN NO EVENT SHALL WE BE LIABLE FOR SLIGHT NEGLIGENCE OR ANY DAMAGES THAT WERE NOT TYPICAL OR REASONABLY FORESEEABLE BREACH OF ESSENTIAL CONTRACT OBLIGATIONS UNDER THESE USER TERMS OR IN CONNECTION WITH OUR PROVISION OF THE RIPPLING SERVICES.
The Rippling Services made available to Authorized Users and other Users on behalf of our Customers are workplace tools intended for use by businesses and organizations and their respective personnel, vendors and other individuals engaged with these entities for employment and business purposes, and not for personal, household or other consumer purposes. To the maximum extent permitted by law, you hereby acknowledge and agree that consumer laws do not apply to your use of the Sites or the Rippling Services, to these User Terms, or to your relationship with Rippling; provided that, if any consumer laws do apply and cannot otherwise be lawfully excluded, nothing in these User Terms will restrict, exclude or modify any statutory warranties, guarantees, rights or remedies you have, and our liability is limited (at our sole option) to the replacement, repair or resupply of the subject Rippling Services or the pro rata refund to Customer of prepaid fees in connection with Customer’s subscription to the subject Rippling Services covering the remainder of the applicable Subscription Term, as defined in the Customer Agreement.
7. General Provisions.
7.1 Mobile Services. The Rippling Services include certain services that are available via a mobile device, including (i) the ability to upload content to the Rippling Services, (ii) the ability to browse the Rippling Services and other websites, and (iii) the ability to access certain features (collectively, the "Mobile Services"). To the extent you access the Rippling Services through a mobile device, your wireless service carrier’s standard charges, data rates and other fees may apply. In addition, downloading, installing, or using certain Mobile Services may be prohibited or restricted by your carrier, and not all Mobile Services may work with all carriers or devices. By using the Mobile Services, you agree that Customer and Rippling may communicate with you by SMS, MMS, text message or other electronic means to your mobile device and that certain information about your usage of the Mobile Services may be communicated to us. In the event you change or deactivate your mobile telephone number, you agree to promptly update your account information to ensure that your messages are not sent to the person that acquires your old number.
7.2 Consent to Electronic Delivery; Electronic Signature.
(a) Electronic Signature. When you execute documents using the e-signature tools set forth in the Rippling platform ("E-Sign Service"), you consent to electronically sign such documents, including employment-related documents, and agree that your electronic signature ("Electronic Signature") is the legal equivalent of your manual or handwritten signature. By selecting an "I Accept" or similar button, or otherwise placing an Electronic Signature on a document while in your Rippling Account, you expressly affirm that: (i) you are able to access and view the relevant document that you are electronically signing, (ii) you consent to conduct business electronically with respect to the transaction contemplated by the document, (iii) you agree to the use of an Electronic Signature for the document, and (iv) you are authorized to enter into the relevant agreement, and be bound by its terms. If you have signed a document electronically using the E-Sign Service, Rippling will provide you the opportunity to download and print a paper copy of the document. You further agree that no certification authority or other third-party verification is necessary to validate your Electronic Signature, and that the lack of such certification or third-party verification will not in any way affect the enforceability of your Electronic Signature or any resulting agreement.
(b) Electronic Delivery. You agree that Customer and Rippling may electronically deliver Service-related documents and/or disclosures to you (including for any persons for whom you are the legal guardian), which may include tax and health insurance notices, as applicable. You also authorize Rippling to receive such Service-related documents and/or disclosure electronically on your behalf, and agree to be notified of such notices electronically. Customer and Rippling may provide electronic delivery via email to the email address provided by you in the Rippling platform or by reference to a location on the Rippling platform to which you have access.
(c) Withdrawing Consent. As a User, you are entitled to withdraw your consent to electronic signatures or electronic disclosures at any time by contacting Customer in the case of Authorized Users or declining to access or use the Rippling Services, including our Site and E-Sign Service, in the case of all other Users. However, you acknowledge that if you withdraw consent: (i) Rippling cannot guarantee that you will be able to obtain relevant disclosures, whether in paper or electronic form, nor maintain full access to the Rippling Services, (ii) you may be required to obtain paper copies of your documents and notices directly from Customer, and (iii) you or Customer may incur additional fees for requesting paper copies, to the extent permitted by applicable law. Note that the decision to stop using the E-Sign Service after you have already used it does not change the legality of the documents you have previously signed using an electronic signature.
(d) Enforceability. You acknowledge that, under applicable laws, some documents require a manual or handwritten signature, and that, subject to Service-specific Rippling obligations set forth in applicable Additional Terms, it is your responsibility to determine whether a document requires a manual or handwritten signature. You understand that you are solely responsible with respect to the content, validity, or enforceability of any document, and that Rippling makes no representations or warranties regarding the validity or enforceability of your documents signed using the E-Sign Service.
(e) Form W-2s. For Authorized Users of Customers receiving payroll services, you agree that your acceptance of these User Terms constitutes your affirmative consent to receive all future Form W-2s electronically for the duration of Customer’s use of Rippling’s payroll services, and for any tax periods covered by Customer’s use of Rippling’s payroll services. If you (i) do not consent to receive your Form W-2s electronically, (ii) withdraw your consent, or (iii) request a paper Form W-2, you will receive a paper Form W-2, but Customer may incur additional fees. To withdraw your consent to receive your Form W-2s electronically or to request a paper Form W-2 (which request will not be treated as withdrawal of consent), please email or contact the relevant person at Customer (i.e., your employer) no later than December 1st of the applicable tax year. Customer will confirm in writing or by email the effective date of the consent withdrawal, if applicable, and such withdrawal will only be effective for Form W-2s not yet issued (and, if received later than December 1st, will not apply to the Form W-2 for that year). Customer and Rippling may provide electronic delivery of the Form W-2 via email to the email address associated with your Rippling account or otherwise provided by you through the Rippling Services or by reference to a location on the Rippling Services to which you have access. To update your email address for such delivery, please update the address through the Rippling Services.
(f) Document Retention. Unless as otherwise specified in the applicable Additional Terms, Rippling is not responsible for determining how long any contracts, documents, and other records are required to be retained or stored under any applicable laws, regulations, or legal or administrative agency processes.

To use certain Rippling Services, you must create an account (an "Account") by providing your email address ("Account Email") and a master password (the "Master Password" and, together with the Account Email, API keys, and any other means of access to the Rippling Services, the "Credentials"). You are responsible for the security of your Account, and agree to keep your Credentials secure. You understand that your Account is solely for your use, and you will not share your Account or Credentials with anyone. You are fully responsible for all activities on the Rippling Services associated with your Account.
(b) Third-Party Account Information. In order to access or use certain aspects of the Rippling Services, some Users will need to provide access to information maintained by certain third party institutions, such as payroll companies, with which you or Customer have a relationship, manage accounts or engage in transactions, and the various applications and services for which you use Rippling’s access and password management services. In order for Rippling to provide those aspects of the Rippling Services, you must provide all relevant information, signatures, data, passwords, usernames, PINs and other necessary information, materials and content ("Third-Party Account Information"). You retain all right, title and interest in and to your Third-Party Account Information, and represent and warrant that the Third-Party Account Information provided is accurate and complete and may be provided to Rippling without any obligations on Rippling to verify the accuracy or completeness of such Third-Party Account Information. You are responsible for the consequences of any instructions provided that Rippling follows, and Rippling has no liability or responsibility for any inability to use the Rippling Services due to such inaccuracy or incompleteness of Third-Party Account Information.

You will adequately secure and keep confidential any Credentials, and any information accessible via your Account. You accept all risks of unauthorized use of your Account arising from your failure to implement security safeguards or otherwise maintain the confidentiality of your Account or Credentials and hereby release, indemnify, defend and hold Rippling harmless from any liability in connection with any such unauthorized access. If you believe or suspect that your Account or any Credentials have been accessed or compromised, you must immediately notify Rippling. Rippling reserves the right to prevent access to the Rippling Services if Rippling has reason to believe that your Account or Credentials have been compromised.
8. Dispute Resolution, Agreement to Arbitrate by Binding Arbitration, Class Action Waiver.
PLEASE READ THIS "DISPUTE RESOLUTION, AGREEMENT TO ARBITRATE BY BINDING ARBITRATION, CLASS ACTION WAIVER" PROVISION CAREFULLY, AS IT LIMITS YOUR RIGHTS IN THE EVENT OF A DISPUTE BETWEEN YOU AND RIPPLING PURSUANT TO THE TERMS SET FORTH BELOW.
8.1 Dispute Resolution Scope. This Section 8 and the agreement to arbitrate and class action waiver contained herein, provides that certain past, present and future disputes, causes of action, and claims in connection with matters governed by these User Terms must be pursued not in court before a judge or jury, but rather in front of a neutral arbitrator subject to the rules and procedures of an arbitral body. Arbitration proceedings are subject to different rules and procedures than in court, and there will be very limited court review of any results of the arbitration. However, an arbitrator can award on an individual basis the same damages and relief as a court (including injunctive and declaratory relief or statutory damages) and must follow this Agreement as a court would. For the avoidance of doubt, the arbitrator can award public injunctive relief. This agreement to arbitrate applies to disputes, causes of action and claims brought by both you and us, not just to those initiated by you, and applies to all manner of past, present and future disputes, causes of action and claims arising hereunder or in connection herewith, including those related to our relationship and our provision of and your use of and access to the Rippling Services.
8.2 Agreement to Arbitrate. Any dispute arising under or relating to these User Terms shall be resolved through final and binding arbitration to be conducted in San Francisco, California, or, if you are an individual using the Site or Rippling Services for your personal or household use and not in connection with any business or your employment relationship (a “Consumer”), in your county of residence, or in another location that both parties agree to in writing. This arbitration agreement applies to all claims, brought under any legal theory, unless the claim fits in one of the exceptions below. If the parties have a dispute about whether this agreement to arbitrate can be enforced or applies to such dispute, the parties agree that the arbitrator will decide that too. This arbitration agreement is governed by the Federal Arbitration Act (“FAA”) and, where applicable, the Convention on the Recognition and Enforcement of Foreign Arbitral Awards (“NY Convention”) (each in effect as of the date the arbitration agreement is invoked), including its procedural provisions, in all respects. In the event this arbitration agreement is for any reason held to be unenforceable or inapplicable to any dispute, cause of action or claim (except for the intellectual property and small claims actions described in Section 8.3 below), such dispute, cause of action or claim may be commenced only in those courts referenced in Section 9.2, and both parties consent to the jurisdiction of those courts for such purposes.
8.3 Exceptions to Agreement to Arbitrate. You and Rippling agree that the agreement to arbitrate will not apply to any disputes relating to your or Rippling’s intellectual property (e.g., trademarks, trade dress, domain names, trade secrets, copyrights or patents, and User Content) and that such disputes, including injunctive or other equitable relief in connection with intellectual property matters, may be brought in any court that has jurisdiction over such claims. Also, either party can bring a claim in small claims court in San Francisco, California (or small claims court in another place if both parties agree in writing), if it qualifies to be brought in that court.
8.4 CLASS, JOINT AND COLLECTIVE ACTION WAIVER; CLAIMS WAIVED AFTER ONE YEAR. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND RIPPLING AGREE THAT ANY ARBITRATION PURSUANT TO THESE USER TERMS WILL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NEITHER YOU NOR RIPPLING SHALL HAVE ANY RIGHT TO INITIATE, FILE OR CONTINUE ANY CLASS ARBITRATIONS, CLASS ACTIONS, OR ANY OTHER FORM OF CONSOLIDATED, JOINT OR COORDINATED DISPUTES, ARBITRATIONS, PROCEEDINGS, OR OTHER ACTIONS. TO THE EXTENT PERMITTED BY LAW, ANY DISPUTE, CAUSE OF ACTION OR CLAIM SUBJECT TO THIS AGREEMENT TO ARBITRATE, MUST BE SUBMITTED TO BINDING ARBITRATION IN ACCORDANCE WITH THIS AGREEMENT TO ARBITRATE NO LATER THAN ONE (1) YEAR AFTER SUCH DISPUTE, CAUSE OF ACTION OR CLAIM AROSE OR SUCH DISPUTE, CAUSE OF ACTION OR CLAIM IS FOREVER BARRED AND PRECLUDED AND YOU SHALL HAVE NO FURTHER RIGHT TO ADVANCE SUCH DISPUTE, CAUSE OF ACTION OR CLAIM IN ARBITRATION, COURT OR OTHERWISE.
8.5 Details of Arbitration Procedure.
(a) Initiation. Either party may initiate an arbitration proceeding under the then-current rules of the American Arbitration Association (“AAA”). AAA’s rules and procedures are available on their website available at http://www.adr.org or User can call them at 1-800-778-7879. The arbitration will be governed by (i) for disputes, causes of action or claims equal to or less than twenty-five thousand United States dollars ($25,000), AAA’s Procedures for the Resolution of Disputes through Document Submission; or (ii) for disputes greater than twenty-five thousand United States dollars ($25,000), the then-current version of (1) AAA’s Consumer Arbitration Rules, if you are a Consumer; and (2) AAA’s Commercial Arbitration Rules, if you are not a Consumer (the “AAA Rules”) and will be held before a single arbitrator appointed in accordance with the AAA Rules. To the extent anything described in this agreement to arbitrate conflicts with the AAA Rules, the language of this agreement to arbitrate applies. If you are a Consumer and are initiating the arbitration, you will pay the consumer filing fee, and we will pay the remaining AAA fees and costs; provided that we shall not be obligated to pay such costs and you will reimburse us to the extent we have paid such costs if the arbitrator determines your claim or filing is (1) frivolous, (2) brought for an improper purpose (as measured by the standards set forth in the Federal Rule of Civil Procedure, state law or the AAA Rules, as applicable), or (3) made jointly or in concert or coordinating with other Users, including by or with the assistance of the same or coordinated counsel. For any arbitration initiated by us, we will pay all AAA fees and costs.
(b) Bellwether Process for Multiple Cases. Notwithstanding and without limiting Section 8.4 (CLASS, JOINT AND COLLECTIVE ACTION WAIVER; CLAIMS WAIVED AFTER ONE YEAR), in the event that twenty-five (25) or more similar claims are asserted against Rippling or against you, or any number of claims lower than or in excess of twenty-five (25) are brought by individuals using the same or coordinated counsel, whether or not such claims are brought simultaneously (but are otherwise in close proximity in time) (a “Non-Individual Filing”), then this Section 8.5(b) shall apply and the “AAA Rules” shall refer to the AAA Supplementary Rules for Multiple Case Filings (including, for purposes of the calculation and payment of fees the AAA Multiple Consumer Case Filing Fee Schedule), which will govern and control. Counsel for the claimants and Rippling shall each select ten (10) filings, and an AAA arbitrator to be assigned to any such selected filings shall select an additional five (5) filings (twenty five (25) filings total) to proceed in individual arbitration proceedings before a single arbitrator appointed pursuant to the AAA Rules (“Bellwether Filings”) while all remaining claims are stayed and held in abeyance pending resolution of the Bellwether Filings. The remaining Non-Individual Filings shall be deemed filed for purposes of the statute of limitations but not for the purpose of assessing arbitral fees (other than initial filing/administrative fees and any fees associated with the arbitrator's selection of Bellwether Filings, as applicable), each of which shall be tolled during the pendency of the initial individual arbitration proceedings. To reach an efficient, cost-effective and fair resolution for all interested parties involved with the Non-Individual Filings, the parties to the Bellwether Filings shall work in good faith with the arbitrators to complete each Bellwether Filing within one hundred twenty (120) days of its initial pre-hearing conference. Following the resolution of all of the Bellwether Arbitrations, the parties to the remaining Non-Individual Filings shall engage in a global mediation, administered by a panel of three (3) mediators (appointed by the arbitrator assigned to the Bellwether Filings) in accordance with this agreement to arbitrate, of all remaining disputes, claims and demands for arbitration comprising the Non-Individual Filings. If the parties to the Non-Individual Filings cannot resolve the remaining claims and demands within sixty (60) days following the global mediation, the remaining demands for arbitration comprising the Non-Individual Filings shall be administered by AAA on an individual basis pursuant to the AAA Rules set forth in this clause (b).
(c) Hearings. The arbitrator and mediators will conduct hearings, if any, by teleconference or videoconference, rather than by personal appearances, unless the arbitrator determines upon request by you or by us that an in-person hearing is appropriate. If required by the arbitrator, mediators or the AAA Rules, in-person appearances will be held at a location that is reasonably convenient to both parties with due consideration of their ability to travel and other pertinent circumstances, including consideration of whether you are a Consumer.
(d) Discovery. Each party will be entitled to get a copy of non-privileged relevant documents in the possession or control of the other party and each party may take one (1) deposition. Each party agrees to cooperate to seek from the arbitrator protection for any confidential, proprietary, trade secret, or otherwise sensitive information, documents, testimony, and/or other materials that might be exchanged or the subject of discovery in the arbitration. All such discovery will be in accordance with procedures approved by the arbitrator. This agreement to arbitrate does not alter in any way the statute of limitations that would apply to any claims or counterclaims asserted by either party.
(e) Arbitration Award. The arbitrator’s award will be based on the evidence admitted and the substantive law of the State of California and the United States, as applicable, and will contain an award for each issue and counterclaim. The award will provide in writing the factual findings and legal reasoning for such award. The arbitrator will not be entitled to modify this Agreement, and may not award any relief that is inconsistent with this Agreement.
(f) Federal Rules of Civil Procedure. Subject to the AAA Rules, the provisions of the United States Federal Rule of Civil Procedure shall apply and be enforced by the arbitrator.
(g) Final and Binding. Except as provided in the FAA and/or the NY Convention, the arbitration award will be final and binding on the parties. Judgment, including injunctive and equitable relief as may be awarded, may be entered in any court of competent jurisdiction.
